Welcome to PrimeOrder.shop ("PrimeOrder", "we", "us", or "our").
PrimeOrder.shop is an online marketplace that enables independent sellers, businesses and other approved vendors ("Sellers") to list, advertise and sell products to customers ("Customers" or "Buyers").
These Terms and Conditions ("Terms") govern your access to and use of PrimeOrder.shop, including browsing, registering for an account, purchasing products, selling products, making payments and using any related PrimeOrder services.
By accessing or using PrimeOrder.shop, you agree to be bound by these Terms.
If you do not agree with these Terms, you should not use the website.
1. DEFINITIONS
For purposes of these Terms:
"Buyer", "Customer", "you" or "your" means any person who accesses PrimeOrder.shop or purchases products through the marketplace.
"PrimeOrder", "we", "us" or "our" means the operator of PrimeOrder.shop.
"Seller", "Vendor" or "Merchant" means an independent business, individual or other approved third party that lists products for sale on PrimeOrder.shop.
"Product" means any goods or services listed by a Seller on PrimeOrder.shop.
"Marketplace" means the online platform operated by PrimeOrder.shop through which Sellers offer Products to Buyers.
"Order" means a request submitted by a Buyer to purchase one or more Products.
"Account" means a registered PrimeOrder customer or Seller account.
"Website" means PrimeOrder.shop and any associated applications, mobile applications, pages or services operated by PrimeOrder.
2. ABOUT PRIMEORDER
PrimeOrder is a marketplace platform connecting Buyers with independent Sellers.
Unless expressly stated otherwise, PrimeOrder does not manufacture, own, warehouse or directly sell Products listed by independent Sellers.
Each Seller is responsible for:
the accuracy of its Product listings;
Product descriptions and specifications;
Product pricing;
availability;
lawful ownership or authority to sell the Product;
warranties applicable to its Products;
packaging;
fulfilment;
dispatch;
delivery, where the Seller is responsible for delivery;
returns and refunds in accordance with applicable law and PrimeOrder policies;
compliance with applicable laws and regulations.
PrimeOrder may facilitate communication, payments, order processing, customer support and dispute resolution between Buyers and Sellers.
3. ELIGIBILITY
You may use PrimeOrder.shop only if you are legally capable of entering into a binding agreement.
If you are under the applicable legal age, you may use PrimeOrder.shop only with the involvement and consent of a parent or legal guardian where required by law.
Sellers must provide accurate registration and business information and must comply with all applicable laws.
PrimeOrder reserves the right to refuse, suspend or terminate an account where information is inaccurate, misleading, fraudulent or otherwise unacceptable.
4. REGISTRATION AND ACCOUNTS
Certain features may require you to create an account.
You agree to:
provide accurate and complete information;
keep your account information up to date;
maintain the confidentiality of your login credentials;
not share your password with unauthorised persons;
immediately notify PrimeOrder of suspected unauthorised account access;
accept responsibility for activities carried out through your account, subject to applicable law.
PrimeOrder may suspend or terminate accounts involved in fraud, abuse, unlawful activity, manipulation of the marketplace or violations of these Terms.
5. SELLER ACCOUNTS
Sellers must complete PrimeOrder's registration and verification process before listing Products.
PrimeOrder may request information including:
full legal name;
business name;
registration details;
identification or verification documents;
banking/payment information;
contact information;
tax information where applicable;
proof of ownership or authority to sell particular Products.
PrimeOrder may conduct verification checks before approving or continuing a Seller account.
Approval of a Seller does not constitute an endorsement or guarantee of that Seller.
6. SELLER RESPONSIBILITIES
Each Seller is responsible for ensuring that all Products listed on PrimeOrder.shop are:
accurately described;
legally permitted to be sold;
safe and fit for their intended purpose;
accurately priced;
available for sale;
authentic and not counterfeit;
compliant with applicable laws;
supplied with all legally required warnings, instructions and information.
Sellers must not list:
counterfeit products;
stolen goods;
illegal goods;
prohibited weapons or restricted goods;
unsafe products;
products that infringe intellectual-property rights;
fraudulent products or services;
products that violate PrimeOrder's prohibited-products rules;
products that cannot legally be sold in the relevant jurisdiction.
PrimeOrder may remove any listing that it reasonably believes violates these Terms or applicable law.
7. PRODUCT LISTINGS
Sellers must provide accurate information regarding:
Product name;
description;
specifications;
condition;
images;
price;
stock availability;
variations;
shipping information;
warranty information, where applicable;
applicable return restrictions.
Sellers must not use misleading descriptions, fake reviews, false discounts or deceptive pricing.
PrimeOrder may modify, reject, suspend or remove listings that do not comply with marketplace standards.
8. PRODUCT PRICES
Sellers are responsible for setting their Product prices unless otherwise agreed.
Prices displayed on PrimeOrder.shop should be accurate and may include or exclude taxes, delivery charges or other fees as clearly indicated.
Where applicable, taxes such as VAT may be included in the displayed price.
Delivery charges and other applicable charges will be disclosed to the Buyer before completion of the transaction where reasonably possible.
PrimeOrder reserves the right to correct obvious pricing errors.
If a Product has been listed at an obviously incorrect price, PrimeOrder or the Seller may cancel the affected Order and refund the amount paid.
9. PLACING AN ORDER
When a Buyer places an Order, the Buyer is making an offer to purchase the Product from the relevant Seller.
An Order is subject to:
Product availability;
payment confirmation;
Seller acceptance where applicable;
compliance with these Terms;
applicable law.
Receipt of an Order confirmation does not necessarily mean that the Seller has accepted the Order if the platform or Seller's process requires further confirmation.
PrimeOrder may cancel an Order where:
the Product is unavailable;
the Product was incorrectly priced;
payment cannot be verified;
fraud is suspected;
the Seller cannot fulfil the Order;
the transaction violates applicable law or these Terms.
Where an Order is cancelled after payment, the applicable amount will be refunded in accordance with the Refund Policy.
10. PAYMENTS
PrimeOrder may use third-party payment service providers to process transactions.
By making a payment, you authorise the applicable payment provider to process the transaction.
PrimeOrder does not store complete card details unless expressly stated and permitted by applicable security and payment standards.
A payment may be declined or reversed where:
the payment provider rejects the transaction;
fraud is suspected;
the Order is cancelled;
technical problems occur;
the transaction violates applicable law.
PrimeOrder may deduct applicable marketplace fees, payment-processing fees, commissions or other agreed charges from Seller proceeds.
11. SELLER PAYOUTS
Where PrimeOrder collects payment on behalf of Sellers, Seller funds may be subject to a settlement or payout period.
PrimeOrder may delay or withhold a payout where reasonably necessary to:
investigate suspected fraud;
handle a refund or chargeback;
resolve a customer dispute;
comply with a legal requirement;
investigate a potentially prohibited transaction;
recover amounts owed by the Seller.
Seller payouts will be made according to the payout schedule and payment method applicable to the Seller's account.
12. DELIVERY
Delivery arrangements may vary between Sellers and Products.
The applicable delivery method, estimated delivery time and delivery cost should be communicated to the Buyer before or during checkout where reasonably possible.
Unless PrimeOrder expressly undertakes responsibility for delivery, the relevant Seller remains responsible for fulfilling and dispatching the Order.
Delivery times are estimates and may be affected by:
courier delays;
public holidays;
weather;
customs procedures;
incorrect delivery information;
events outside reasonable control.
A Seller must promptly notify the Buyer and PrimeOrder if an Order cannot be fulfilled within the promised or agreed period.
13. INTERNATIONAL ORDERS
Where Products are purchased for delivery outside the Seller's country, the Buyer may be responsible for:
customs duties;
import taxes;
customs clearance charges;
destination-country taxes;
regulatory requirements.
PrimeOrder does not guarantee that a Product may legally be imported into the Buyer's destination country.
Buyers should confirm applicable import requirements before purchasing international Products.
14. CANCELLATION BY BUYERS
A Buyer may request cancellation of an Order before dispatch.
Cancellation after dispatch may be treated as a return and may be subject to the applicable Seller's return process and applicable law.
Nothing in these Terms limits any cancellation rights that a consumer has under applicable law.
Where a consumer has a statutory right to cancel an electronic transaction or exercise a cooling-off right, that right will apply notwithstanding this clause.
South African electronic-commerce legislation provides consumer protections relating to online transactions, including cooling-off rights in qualifying circumstances.
15. RETURNS
Returns are subject to:
applicable South African consumer law;
the specific Product's return conditions;
the Seller's applicable return policy;
PrimeOrder's Refund and Returns Policy.
Nothing in a Seller's return policy may remove or reduce a consumer right that cannot lawfully be excluded.
Depending on the circumstances, Products may be eligible for return where they are:
defective;
damaged;
materially different from the description;
incorrect;
incomplete;
not fit for their intended purpose;
otherwise subject to a statutory consumer remedy.
The Consumer Protection Act provides consumer remedies relating to defective or unsuitable goods, including statutory protections concerning quality and returns.
16. REFUNDS
Refunds will be processed in accordance with PrimeOrder's Refund Policy and applicable law.
Where a refund is approved, the refund will generally be made using the original payment method where technically and reasonably possible.
The timing of the refund may depend on:
return of the Product;
inspection;
Seller approval;
payment-provider processing times;
banking processes;
applicable legal requirements.
PrimeOrder may require evidence, photographs, tracking information or other information before processing a return or refund.
17. DEFECTIVE PRODUCTS
Where a Product is defective or does not comply with applicable consumer-protection requirements, the Buyer may have rights to request an appropriate remedy, which may include:
repair;
replacement;
refund;
depending on the circumstances and applicable law.
Sellers are responsible for honouring applicable statutory and manufacturer warranties.
18. WRONG OR DAMAGED PRODUCTS
If a Buyer receives:
the wrong Product;
a materially different Product;
a damaged Product;
an incomplete Product;
the Buyer should notify PrimeOrder and/or the Seller as soon as reasonably possible.
The Buyer may be asked to provide:
photographs;
videos;
packaging photographs;
delivery documentation;
order information;
other reasonable evidence.
Where the Seller is responsible for the error, the Seller will be responsible for the appropriate remedy subject to applicable law.
19. CHANGE-OF-MIND RETURNS
Change-of-mind returns are subject to applicable law and the individual Seller's return policy.
Where no statutory right applies, PrimeOrder or the Seller is not automatically required to accept a return merely because a Buyer has changed their mind.
Any voluntary change-of-mind return policy offered by a Seller must be clearly communicated to the Buyer.
Certain Products may be excluded from voluntary change-of-mind returns where permitted by law, including certain:
personalised Products;
customised Products;
perishable Products;
opened hygiene Products;
sealed Products where return is prohibited after opening;
digital Products;
Products made to the Buyer's specifications.
20. SELLER FEES AND COMMISSIONS
PrimeOrder may charge Sellers:
registration fees;
listing fees;
monthly subscription fees;
sales commissions;
transaction fees;
payment-processing fees;
advertising fees;
promotional fees;
withdrawal/payout fees;
other clearly disclosed marketplace fees.
Applicable fees will be communicated to Sellers before they become payable.
PrimeOrder may change its fee structure by providing reasonable notice.
21. SELLER REVIEWS AND RATINGS
Buyers may be permitted to rate and review Sellers or Products.
Reviews must be:
honest;
relevant;
based on genuine experiences;
free from unlawful or abusive content.
Sellers must not:
purchase fake reviews;
create fake accounts;
manipulate ratings;
threaten customers for negative reviews;
offer inappropriate incentives for positive reviews.
PrimeOrder may remove reviews that violate its rules or applicable law.
22. PROHIBITED CONDUCT
Users must not:
commit fraud;
impersonate another person;
provide false information;
manipulate prices;
manipulate reviews;
use stolen payment credentials;
upload malicious software;
attempt unauthorised access;
interfere with the Website;
scrape or copy marketplace data without permission;
infringe intellectual-property rights;
sell prohibited Products;
use PrimeOrder for unlawful activity;
circumvent PrimeOrder fees;
conduct transactions designed to avoid PrimeOrder's marketplace systems.
PrimeOrder may suspend or terminate accounts involved in prohibited conduct.
23. INTELLECTUAL PROPERTY
PrimeOrder and its licensors retain all rights in the PrimeOrder platform, branding, software, design, graphics, logos, content and functionality, except for third-party content or Seller-owned content.
Sellers retain ownership of their trademarks, Product photographs and original content, subject to the licence granted to PrimeOrder below.
By uploading Product content, Sellers grant PrimeOrder a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, modify and distribute that content for purposes of operating, marketing and promoting the marketplace.
24. SELLER REPRESENTATIONS
Each Seller represents that:
it has the right to sell the Products listed;
its Products are genuine;
its listings are accurate;
its Products comply with applicable law;
its Product content does not infringe third-party rights;
it will fulfil accepted Orders;
it will comply with PrimeOrder policies.
The Seller remains responsible for claims arising from its Products, listings or conduct, subject to applicable law.
25. PRIMEORDER'S ROLE AND LIABILITY
PrimeOrder operates the marketplace platform and may facilitate transactions between Buyers and Sellers.
Unless expressly stated otherwise, PrimeOrder is not the manufacturer, importer, owner or direct seller of Products listed by independent Sellers.
To the extent permitted by law, PrimeOrder is not responsible for:
the quality of a Seller's Product;
inaccurate Seller descriptions;
Seller misconduct;
Seller failure to dispatch;
Seller failure to honour a warranty;
counterfeit Products sold by a Seller;
delays caused by a Seller or third-party courier.
However, PrimeOrder may assist Buyers in resolving disputes and may take action against Sellers who breach marketplace rules.
Nothing in these Terms excludes or limits any liability or consumer right that cannot lawfully be excluded or limited.
26. DISPUTES BETWEEN BUYERS AND SELLERS
Buyers should first attempt to resolve Product-related issues through PrimeOrder's customer-support or dispute-resolution process.
PrimeOrder may:
request evidence from both parties;
contact the Seller;
investigate the transaction;
suspend a Seller;
facilitate a return;
facilitate a refund;
hold Seller funds where appropriate;
make a marketplace decision under its policies.
PrimeOrder's involvement in a dispute does not remove any legal rights available to either party.
27. FRAUD AND CHARGEBACKS
PrimeOrder may investigate transactions that appear fraudulent or suspicious.
Where a payment is reversed, charged back or disputed, PrimeOrder may recover the applicable amount from the Seller where permitted under the Seller agreement.
PrimeOrder may suspend accounts associated with fraudulent activity.
28. PRIVACY
Personal information submitted to PrimeOrder will be handled in accordance with the PrimeOrder Privacy Policy.
Users should review the Privacy Policy before using the marketplace.
29. WEBSITE AVAILABILITY
PrimeOrder aims to keep the Website available and operational but does not guarantee uninterrupted availability.
The Website may occasionally be unavailable because of:
maintenance;
upgrades;
technical problems;
hosting failures;
cyber incidents;
telecommunications failures;
events outside PrimeOrder's reasonable control.
30. THIRD-PARTY SERVICES
PrimeOrder may use third-party providers including:
payment processors;
courier companies;
hosting providers;
identity-verification providers;
analytics providers;
communication providers.
Third-party services may have their own terms and policies.
PrimeOrder is not responsible for failures caused solely by third-party providers, subject to applicable law.
31. SUSPENSION AND TERMINATION
PrimeOrder may suspend, restrict or terminate an account where:
these Terms are breached;
fraudulent activity is suspected;
prohibited Products are listed;
payments are abused;
the marketplace is manipulated;
the account creates a security risk;
required verification information is not supplied;
required by law.
Termination does not automatically cancel obligations that arose before termination.
32. INDEMNITY
To the extent permitted by law, Sellers agree to indemnify and hold PrimeOrder harmless against claims, losses, liabilities, damages and reasonable costs arising from:
their Products;
their Product listings;
their breach of these Terms;
infringement of third-party rights;
unlawful conduct;
failure to comply with applicable law.
Nothing in this clause limits rights that cannot lawfully be limited.
33. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, PrimeOrder will not be liable for indirect, incidental or consequential losses arising from the conduct of independent Sellers or third-party service providers.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
34. CHANGES TO THESE TERMS
PrimeOrder may update these Terms from time to time.
Updated Terms will be published on PrimeOrder.shop.
Where required by law, material changes will be communicated to affected users.
Continued use of PrimeOrder after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.
35. GOVERNING LAW
These Terms will be governed by the laws of the jurisdiction applicable to the PrimeOrder business and the relevant transaction, subject to mandatory consumer-protection laws.
Nothing in these Terms prevents a consumer from exercising rights granted by mandatory consumer-protection legislation.
